TERMS OF SERVICE
RAINMAKER LEAD SYSTEM®
RAINMAKER LEAD SYSTEM is a web-based system of Internet content, web forms, automated e-mail follow-up service that allow You to generate leads, follow-up leads and send Your own e-mail marketing campaigns to Your online database of contacts. The following are the terms and conditions for use of the Services. By submitting Your Order Form and login to the RAINMAKER LEAD SYSTEM Web site, You accept these terms and conditions as modified from time to time.
SERVICES
RAINMAKER LEAD SYSTEM comprises Web sites, Web pages, and Web-based database, targeted e-mail follow-up plans, storage and support services operated by Gooder Group. These Web sites, automated e-mail, products and services will be collectively referred to in this Agreement as "RAINMAKER LEAD SYSTEM." "You" means You, Your company, Your employees, and anyone with access to use Your RAINMAKER LEAD SYSTEM account.
Gooder Group may change any RAINMAKER LEAD SYSTEM services from time to time without notice, including terminating the offering of any RAINMAKER LEAD SYSTEM service altogether. Gooder Group reserves the right to change any of the Terms of Service or terminate this Agreement at any time without notice. If You continue to use the RAINMAKER LEAD SYSTEM after any such changes, Your continued use will constitute Your consent to such changes. Gooder Group does not and will not assume any obligation to notify You of any changes to the Terms of Service. All sections of this Agreement which by their nature should survive termination will survive termination, including, without limitation, ownership, warranty disclaimers and limitations of liability.

ELIGIBILITY
RAINMAKER LEAD SYSTEM is available to individuals eighteen (18) years of age or older and to corporations and other organizations who can form legally binding contracts under applicable law. If You do not qualify, please do not attempt to use the Services. As a subscriber, You agree to provide accurate and current information about Yourself as requested by the registration and billing process, and You agree to keep that information up-to-date while You are a subscriber. Failure to do so may result in termination of Your account. (See Termination Policy.) Gooder Group may refuse to offer RAINMAKER LEAD SYSTEM to any person and may change the criteria for eligibility at any time.
YOUR CUSTOMER DATA
RAINMAKER LEAD SYSTEM will not use Your customer data or Your customer contact list for any purposes other than those intended by RAINMAKER LEAD SYSTEM. Your contact information will not be shared with other parties or used for sending unsolicited commercial e-mail to such contacts. Upon termination or cancellation of Your subscription to RAINMAKER LEAD SYSTEM, Your customer data will be deleted from the RAINMAKER LEAD SYSTEM. (See Cancellation Policy, Termination Policy.)
E-MAIL CONTENT
Gooder Group does not claim ownership of the materials You provide to Gooder Group (including feedback and suggestions) or that You enter in connection with Your use of RAINMAKER LEAD SYSTEM (collectively, "Submissions"). However, You grant Gooder Group a royalty-free license to use Your Submissions only in connection with the operation of Your subscription to RAINMAKER LEAD SYSTEM. Gooder Group may remove materials You provide at any time in Gooder Group's sole discretion. By posting messages, uploading files (including graphics), inputting data, submitting any feedback or suggestions to the RAINMAKER LEAD SYSTEM, You agree you own or control the rights do so, grant Gooder Group the license set forth above, and will defend and indemnify Gooder Group and its suppliers from any third party claim related to a breach of Your agreement.
E-mails distributed to Mailing Lists may not be in excess of 250KB. Gooder Group may include in every sent e-mail a statement similar to the following: "Powered by RAINMAKER LEAD SYSTEM".
LINKS TO THIRD PARTY SITES
Links within the RAINMAKER LEAD SYSTEM e-mail may let contacts leave the RAINMAKER LEAD SYSTEM. Gooder Group transmits these links via e-mail only as a convenience to You. The inclusion of any link does not imply endorsement by Gooder Group of the linked site or any association with its operators. You acknowledge that Gooder Group is not responsible for the contents or operation of any linked sites not under control of Gooder Group.
ACCOUNT SECURITY AND PASSWORDS
You are responsible for safeguarding the confidentiality of Your account information, including password(s) and user name(s) issued to You, and for any use or misuse of Your account or the RAINMAKER LEAD SYSTEM service resulting from any third party using a password or user name issued to You. You agree to notify Gooder Group immediately if you know of or suspect any misuse or breach of security. You may change Your password at any time by following instructions on the RAINMAKER LEAD SYSTEM Web site.
PROMOTIONAL USE
You also grant Gooder Group the right to publish Your name as a subscriber to RAINMAKER LEAD SYSTEM for promotional use. No compensation will be paid or due You with respect to Gooder Group's use of the materials as licensed above.
PAYMENT POLICY
Subscriptions are billed monthly for the month in advance, according to the Fee Schedule provided by Gooder Group. The Fee Schedule, including levels of e-mail sent and prices, is subject to change at any time. If changes are made to the Fee Schedule, Gooder Group will post the new fee schedule at least thirty (30) days prior to implementing such modified fees. You are responsible for reviewing the Fee Schedule from time to time and remaining aware of the Fees charged by Gooder Group.
Payment for Services will be made by a valid credit card accepted by Gooder Group. Fees are payable in US dollars. You hereby authorize Gooder Group to charge Your credit card in advance for all applicable fees incurred by You or on Your behalf in connection with Your use of the RAINMAKER LEAD SYSTEM service. Generally, fees will be charged to Your credit card on or about the first day of each month.
On the first of every month, Your amount due will be established by the number of e-mails sent the previous month. In the event Your e-mails sent during the previous month establish a higher rate, You will be charged the higher rate for the next month. In the event Your e-mails sent during the previous month establish a lower rate, You will be charged the lower rate for the next month. Any e-mail messages not used in a given calendar month may not be applied in any other calendar month.
Amounts not paid by You to Gooder Group when due may bear interest at the lesser of (a) one and one-half percent (1.5%) per month, and (b) the maximum rate permitted by applicable law. If You fail to pay for services in accordance with the fee schedule, Gooder Group reserves the right to suspend or terminate access to Your account and all related data. If Gooder Group is for any reason unable to deposit payment via Your credit card, Your RAINMAKER LEAD SYSTEM account will be disabled until payment is received. It is Your responsibility to notify RAINMAKER LEAD SYSTEM if Your credit card has changed or has expired.
CANCELLATION POLICY
You may cancel Your subscription to RAINMAKER LEAD SYSTEM at any time. All cancellations must be received in writing via e-mail, fax or postal service and will be effective the first day of the month after Gooder Group receives Your written cancellation. Telephone cancellations cannot be accepted. Gooder Group will send You an e-mail confirmation of Your cancellation. Pre-paid fees for the account canceled will not be refunded.
To cancel Your account subscription, you may:
- send an e-mail message to eSupport@GooderGroup.com
- fax Your cancellation to (703) 698-8597, or
- mail written notice to Gooder Group, 2724 Dorr Avenue, Suite 103 , Fairfax, VA 22031 USA.
All cancellation requests must include:
- Your name, company name, main office phone number, Your e-mail address and Your RAINMAKER LEAD SYSTEM login password, and
- he exact name of the service that You wish to cancel.
You agree that upon cancellation of Your RAINMAKER LEAD SYSTEM subscription, Gooder Group will delete from the System all Your contact database and any content submissions You made during the subscription. You are solely responsible for exporting Your contact database (to Your proprietary system) prior to subscription cancellation. Gooder Group is not responsible for providing a copy of Your System data or restoring Your System data or e-mail content in any way after cancellation.
TERMINATION POLICY
Gooder Group may terminate Your account and Your access to RAINMAKER LEAD SYSTEM at any time with no refund of any fees prepaid by You. Such termination may occur if You violate any of these Terms of Service, if you fail to remit any applicable subscription fees when due, if any representation or warranty made by You is untrue, or if Gooder Group receives a court order or other legal action relating to Your account.
If You subscribe to a RAINMAKER LEAD SYSTEM service that is made up of two or more individual services and You violate the Terms of Service applicable to only one of the services, (1) Your use of the particular individual service will be terminated, but the remaining services will remain active and (2) You will not receive a refund of Your prepaid fees for the service terminated. You will be responsible for all fees incurred during Your subscription and payment of such fees shall be due immediately upon termination of Your subscription.
You agree that upon termination of Your RAINMAKER LEAD SYSTEM subscription, Gooder Group will delete from the System all Your contact database and any content submissions You made during the subscription. You are solely responsible for exporting Your contact database (to Your proprietary system) prior to subscription termination. Gooder Group is not responsible for providing a copy of Your System data or restoring Your System data or e-mail content in any way after termination.
ANTI-SPAM POLICY
RAINMAKER LEAD SYSTEM may not be used for sending unsolicited e-mail (sometimes called "spam"), for commercial or non-commercial purposes. When entering e-mail lists, You agree to only include contacts with whom You have a pre-existing business or personal relationship or who have indicated their desire to receive e-mail from You. Using RAINMAKER LEAD SYSTEM to send e-mail to an address You obtain without the contact’s consent is a violation of RAINMAKER LEAD SYSTEM Terms of Service. You may not use third party mailing lists on the RAINMAKER LEAD SYSTEM other than for approved purposes (if any), and You may not use third party mailing lists to prepare or distribute unsolicited e-mail to any contact. If RAINMAKER LEAD SYSTEM receives complaints about Your list, your account may be terminated. You may not send e-mail under any company or organization name other than Your own. Please read Anti-Spam Policy.
Every e-mail message sent in connection with the Services may contain an "Opt Out" link that allows visitors to remove themselves from Your automated RAINMAKER LEAD SYSTEM mailing list. If you disable the Opt-Out link, Gooder Group may disable Your access to RAINMAKER LEAD SYSTEM.
TERMS AND CONDITIONS
Gooder Group reserves the right, but is not obligated, to monitor materials posted on Your Web site and to monitor Your compliance with these Terms of Service. Gooder Group reserves the right to edit, refuse to post or remove any information or materials which violate these Terms of Service in whole or in part, without notice at any time.
RAINMAKER LEAD SYSTEM is provided to assist You with the operation of Your business. Your right to use the System is limited to You, and Your company and its employees. You are solely responsible for Your contact database, Your e-mail content, and Your RAINMAKER LEAD SYSTEM account. You are also responsible for maintaining the security of Your account, passwords, and files, and for all uses of Your account and of the Services in Your name.
You agree that no joint venture, partnership, employment, or agency relationship exists between You and Gooder Group as a result of these Terms or Service or use of RAINMAKER LEAD SYSTEM.
Gooder Group is not involved in any transaction between You and Your buyer or seller or other third parties with whom You may have transactions through RAINMAKER LEAD SYSTEM. Gooder Group is not responsible for screening, censoring or otherwise controlling Your Web site, or any listings or transactions offered or conducted via Your e-mail. You are deemed to have a direct commercial relationship with each third party that purchases goods or services from You through RAINMAKER LEAD SYSTEM. Gooder Group is not acting as Your or any third party's agent in connection with the operation of RAINMAKER LEAD SYSTEM.
You specifically agree that you will NOT use RAINMAKER LEAD SYSTEM services or Your rights under this agreement as follows:
- To rent, lease, license, grant a security interest in, or otherwise transfer or sub-license Your rights hereunder to any third party.
- For any unlawful purposes or to encourage the use of any controlled substance or to send, submit, publish or send links to content promoting illegal activities, illegal software, serial numbers for unlocking software, mail fraud, pyramid schemes, unsolicited e-mail (including "spamming"), or other violations of state, local or federal law.
- To sell, offer to sell, distribute, promote, facilitate, disseminate or link to any sites for marketing, sales, promotion, facilitation or distribution of goods or activities that if sold via any RAINMAKER LEAD SYSTEM services or Your Web site would cause Gooder Group to violate any law, statute or regulation.
- To harass, threaten, embarrass or cause distress, unwanted attention or discomfort to a person or entity.
- To send, submit, publish or send links to any sexually explicit images or material that is grossly offensive to the Web community, including nudity, sex, pornography, tasteless images, profanity, foul language, blatant expressions of bigotry, racism, hatred, or any other images or material deemed by Gooder Group to be offensive.
- To send, submit, publish or send links to any defamatory, inaccurate, abusive, or threatening material which is racially or ethnically offensive or which infringes upon the right of any third party, as determined by Gooder Group.
- To send, submit, publish or send links to software, content or other material that contains viruses, worms, corrupted files, cracks or that may or are intended to damage the operation of or render inoperable another's computer, hardware, software, security measures or system or other programs written to defeat the security measures of any computer, system or programs;
- Impersonate any person, including but not limited to, an official of Gooder Group or an information provider, or communicate under a false name or a name that You are not entitled or authorized to use.
- Upload, post or reproduce in any manner any material protected by copyright, without the permission of the copyright owner.
You represent and warrant that:
- You will not use the RAINMAKER LEAD SYSTEM for any purpose prohibited by these Terms of Service.
- Any products or services advertised, sold or otherwise distributed by You via the RAINMAKER LEAD SYSTEM are legal for sale or distribution.
- You have all licenses necessary to sell or advertise the goods or services offered for sale or distribution through the System and that all sales and advertisements will be in compliance with applicable law.
- You have and control all of the intellectual property and proprietary rights necessary for all material entered on Your Web site including all submissions, products and services sold or otherwise distributed by You or on Your behalf via Your Web site.
By using the RAINMAKER LEAD SYSTEM, You agree You will defend and indemnify Gooder Group and its suppliers from any third party claim related to a breach of any of the foregoing warranties.
LIMITATIONS ON YOUR USE
You may not modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any information, software, products, services or benefits obtained from the RAINMAKER LEAD SYSTEM, except as expressly provided in these Terms of Service
You may not use a name in connection with operating Your RAINMAKER LEAD SYSTEM Web site that is confusing or misleading to participants, or otherwise impersonate or deceive participants with respect to Your identity.
You may not restrict or inhibit any other user from using and enjoying such user's rights in RAINMAKER LEAD SYSTEM.
You may not interfere with or disrupt the RAINMAKER LEAD SYSTEM or servers or any system connected to RAINMAKER LEAD SYSTEM. You may not reproduce or redistribute any Software, as that term is defined in the Section entitled "Software Available on the RAINMAKER LEAD SYSTEM." You may not copy or reproduce the Software to any other server or location for further reproduction or redistribution. You may not decompile, disassemble, reverse engineer or otherwise attempt to discover any trade secret contained in the RAINMAKER LEAD SYSTEM, or in any product, service or Software provided through the RAINMAKER LEAD SYSTEM.
The information provided by Gooder Group to You may be proprietary in nature. You agree not to share any information provided to You by or on behalf of Gooder Group with any third party.
The User agrees not to directly or indirectly reverse engineer, decompile, disassemble, or otherwise attempt to discover source code, object code, or underlying structure, ideas, or algorithms of, or found at or through the Services of any software, documentation, or data related to the Services. The User also agrees not to remove any proprietary notices or labels from the Services or any software, modify, translate, or create derivative works based on the Services or any software, or copy, distribute, pledge, assign, or otherwise transfer or encumber rights to the Services or any software. The Services shall be used for the Users own internal business purposes only.
TRADEMARKS
RAINMAKER LEAD SYSTEM is either a trademark or registered trademark of Gooder Group Inc. The names of actual companies and products mentioned herein may be the trademarks of their respective owners. Any rights not expressly granted herein are reserved by Gooder Group.
You acknowledge and agree that the RAINMAKER LEAD SYSTEM and Gooder Group names and logos and all related product and service names, design marks and slogans (collectively, the "Marks"), are the property of Gooder Group. You are not authorized to use any of the Marks in any commercial manner without the prior written consent of Gooder Group. Your use of the RAINMAKER LEAD SYSTEM confers no title or ownership in the Service, the Software or the Marks and is not a sale of any rights in the Service, the Software or the Marks. All ownership rights remain in Gooder Group or its third party suppliers, as the case may be.
COPYRIGHTS

You agree that the RAINMAKER LEAD SYSTEM and its website also contain copyrighted or other proprietary materials of Gooder Group or other third parties. You acknowledge that, except as strictly necessary for personal viewing and use of the RAINMAKER LEAD SYSTEM by means of a standard Internet browser, You are not granted any right or license to use, link to, reproduce, reverse engineer, modify, duplicate, distribute, display or perform any such copyrighted materials used or displayed on the RAINMAKER LEAD SYSTEM website or to permit others to do the same. All such uses are prohibited without the prior written consent of Gooder Group.
Software (if any) that is made available to download from or otherwise use through the RAINMAKER LEAD SYSTEM, excluding software that may be made available by third parties via RAINMAKER LEAD SYSTEM, ("Software") is the copyrighted work of Gooder Group and/or its suppliers. You shall keep intact all and may not alter any copyright and other proprietary notices contained in such Software.
All Software is owned by Gooder Group and/or its suppliers, and is protected to the maximum extent permitted by copyright laws and international treaty provisions. Any reproduction or redistribution of the Software is expressly prohibited, and may result in severe civil and criminal penalties. Persons violating the foregoing, or who otherwise misappropriate any intellectual property or proprietary rights related to the Software may be prosecuted to the maximum extent possible. WITHOUT LIMITING THE FOREGOING, COPYING OR REPRODUCING THE SOFTWARE TO ANY OTHER SERVER OR LOCATION FOR FURTHER REPRODUCTION OR REDISTRIBUTION IS EXPRESSLY PROHIBITED.
LIMITATIONS OF LIABILITY AND DISCLAIMERS
Gooder Group may establish general practices and limits concerning the use of the Services, including without limitation the maximum number of days that information is stored, the maximum amount of disk space that will be allotted to each User, the maximum size of campaigns sent through our Services and the maximum number of occasions that the User may access the Services in a given period of time.
It is Your responsibility to take the necessary steps to ensure Your primary means of business is maintained. Gooder Group will not be liable for any damage, loss or disclosure of data, accounts, revenue or business arising out of or otherwise related to:
- Your use of the RAINMAKER LEAD SYSTEM, its services or products.
- Your contacts' use of e-mail hosted by or created through RAINMAKER LEAD SYSTEM and Your products and services.
- Use of the RAINMAKER LEAD SYSTEM by any other party to whom You have given access to Your company information for use of the RAINMAKER LEAD SYSTEM.
- Errors, bugs or other defects in the RAINMAKER LEAD SYSTEM.
- Lost company, customer or vendor information (e.g., billing information, credit card numbers, lost orders, etc.).
- Illegal or criminal activities, including but not limited to reliance on any information obtained on the RAINMAKER LEAD SYSTEM Web Hosting service.
- Mistakes, omissions, interruptions, deletion of files or e-mail, loss of or damage to data, errors, defects, viruses, delays in operation, or transmission, or any failure of performance, whether or not limited to acts of God, communications failure, theft, destruction or unauthorized access to Gooder Group's records, programs or services. You are solely responsible for maintaining and backing-up any information regarding the operation or use of Your Web site, catalogs, lists, order records, and other information You are providing or using in connection with Your use of the RAINMAKER LEAD SYSTEM.
Without limiting the foregoing, Gooder Group is not responsible for any of Your data residing on Gooder Group and RAINMAKER LEAD SYSTEM hardware or systems, including such hardware or systems provided to Gooder Group by third parties. You are responsible for maintaining and backing-up Your data and information that may reside on the Gooder Group or RAINMAKER LEAD SYSTEM hardware or systems, including such hardware or systems provided to Gooder Group by third parties, whether or not such information is produced through the use of RAINMAKER LEAD SYSTEM.
Without limiting any other applicable disclaimers, Gooder Group disclaims all representations that messages sent in connection with the RAINMAKER LEAD SYSTEM service will be delivered on time or received, or that the operation of the RAINMAKER LEAD SYSTEM service will be available, error-free or secure. You acknowledge that the security mechanisms contained in RAINMAKER LEAD SYSTEM have inherent limitations, and You are solely responsible for determining if use of the RAINMAKER LEAD SYSTEM service sufficiently meets Your requirements.
The information, software, products, services and other material included in the RAINMAKER LEAD SYSTEM may not be complete, and may include inaccuracies or errors, and may also be modified, discontinued or deleted from time to time without notice. Advice, information, products, services or other materials received via the RAINMAKER LEAD SYSTEM should not be relied upon for personal, medical, legal, business, financial or other decisions and is not intended to replace the advice of appropriate and qualified professionals. You acknowledge that You should consult an appropriate professional for specific advice tailored to Your situation.
Your access to and use of the RAINMAKER LEAD SYSTEM, and products and services of RAINMAKER LEAD SYSTEM, is at Your own risk. Gooder Group makes no guarantees of any kind regarding the dependability, accuracy, security, timeliness or availability of the RAINMAKER LEAD SYSTEM. Without limiting the foregoing, neither Gooder Group nor its respective suppliers make any representations or warranties about the condition, suitability, reliability, availability, completeness, security, timeliness, or accuracy of the information, software, products, services and materials contained in RAINMAKER LEAD SYSTEM for any purpose. All such information, software, products, services and materials are provided "as is" without warranty of any kind. Gooder Group and its respective suppliers hereby disclaim all representations, warranties and conditions, express or implied, with regard to this information, software, products, services or materials, including all implied warranties and conditions of merchantability, fitness for a particular purpose, title and non-infringement.
INDEMNIFICATION
In no event shall Gooder Group or its suppliers be liable for any direct, indirect, punitive, incidental, special, consequential or exemplary damages or any damages whatsoever including, without limitation:
- Damages for loss of use, data, accounts, revenues or profits, arising out of or in any way connected with the use or performance of RAINMAKER LEAD SYSTEM or related services, or caused by the delay or inability to use RAINMAKER LEAD SYSTEM or related services.
- The provision of or failure to provide services, or for any information, software, products, services and related graphics obtained through RAINMAKER LEAD SYSTEM.
- Damages otherwise arising out of the use of RAINMAKER LEAD SYSTEM, whether based on contract, tort, negligence, strict liability or otherwise, even if Gooder Group or any of its suppliers has been advised of the possibility of damages. Because some states/jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, the above limitation may not apply to You. If You are dissatisfied with any portion of RAINMAKER LEAD SYSTEM, or with any of these terms of service or the additional terms, Your sole and exclusive remedy is to discontinue using the RAINMAKER LEAD SYSTEM and its related services and products.
Your sole and exclusive remedy for any failure or nonperformance of the Services shall be for Gooder Group to use commercially reasonable efforts to adjust or repair the Services.
You agree to defend, indemnify and hold Gooder Group and its suppliers harmless from and against any and all claims, losses, liability costs and expenses (including but not limited to attorneys' fees) arising from Your violation of these Terms of Service (including, without limitation, violation of applicable Additional Terms), or any third-party's rights, (including, without limitation, infringement of any copyright, violation of any proprietary right and invasion of any privacy rights). These obligations will survive any termination of Your relationship with Gooder Group or Your use of RAINMAKER LEAD SYSTEM.
MISCELLANEOUS
Gooder Group's performance of this agreement is subject to existing laws and legal process, nothing contained in these Terms Service are derogation Gooder Group right comply with governmental, court law enforcement requests or requirements relating Your use the RAINMAKER LEAD SYSTEM information provided gathered by respect such use.
If any part of these Terms of Service is determined to be invalid or unenforceable pursuant to applicable law including, but not limited to, the warranty disclaimers and liability limitations set forth above, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of these Terms of Service and the Additional Terms shall continue in effect.
Unless otherwise specified herein, these Terms of Service constitute the entire agreement between the user and Gooder Group with respect to the RAINMAKER LEAD SYSTEM and they supersede all prior communications, whether electronic, oral or written, between the user and Gooder Group with respect to the RAINMAKER LEAD SYSTEM.
A printed version of these Terms of Service and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to these Terms of Service to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form.
The example companies, organizations, products, people and events depicted within RAINMAKER LEAD SYSTEM are fictitious. No association with any real company, organizations, product, person or event is intended or should be inferred.
Gooder Group is not obligated to monitor the content on RAINMAKER LEAD SYSTEM. You hereby irrevocably consent to the exclusive jurisdiction and venue of courts in Fairfax County, Virginia, U.S.A. in all disputes arising out of or relating to the use of the RAINMAKER LEAD SYSTEM Services or the RAINMAKER LEAD SYSTEM.
